Welcome to Proscope360.ai ("Platform", "Service", "we", "us", or "our"), operated by Proscope Inc., a Delaware corporation. These Terms and Conditions ("Terms") govern your access to and use of our construction scope of work writing software and related services.

2. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Proscope Inc.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By using the Platform, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration

4.1 Account Creation

To use certain features of the Platform, you must create an account by providing:

  • A valid email address
  • A username
  • Company information (if applicable)
  • Any other information requested during registration

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

You agree not to:

  • Share your account credentials with others
  • Create an account using false or misleading information
  • Create multiple accounts for fraudulent purposes

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms
  • Your account is used for fraudulent or illegal activities
  • We discontinue the Service (with reasonable notice)

5. Service Description

Proscope360.ai is a construction scope of work writing software that uses artificial intelligence and machine learning to:

  • Process and analyze construction drawings and specifications
  • Generate scope of work documents
  • Assist users in creating comprehensive construction documentation
  • Provide AI-powered insights and recommendations

The specific features and capabilities of the Service may vary based on your subscription tier or credit purchase.

6. Payment Terms

6.1 Payment Models

We offer two payment structures:

A. One-Time Payment (Credit-Based Model)

  • Payment is based on the number of pages and/or documents uploaded
  • Credits are required to process drawings and specifications
  • Additional drawings beyond your purchased credits will incur additional charges
  • Credits are non-refundable and non-transferable
  • Credits do not expire unless your account is terminated

B. Subscription Model

  • Recurring monthly or annual subscription fees
  • Subscription terms and pricing will be clearly disclosed at the time of purchase
  • Subscriptions automatically renew unless cancelled
  • You may cancel your subscription at any time through your account settings

6.2 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge your payment method for the applicable fees. Stripe may store your payment information in accordance with their privacy policy and terms of service.

6.3 Pricing Changes

We reserve the right to modify our pricing at any time. We will provide reasonable notice of any price changes. Continued use of the Service after price changes take effect constitutes acceptance of the new pricing.

6.4 Taxes

You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Service.

6.5 Refunds

All payments are non-refundable except as required by law or as explicitly stated in these Terms. If you believe you have been charged in error, contact us at info@proscope360.ai within 30 days of the charge.

7. Free Trial

7.1 Trial Terms

We may offer a free trial that includes:

  • One project
  • A limited number of scopes per project (specific limits disclosed at time of trial)
  • Limited messaging with the AI platform (specific limits disclosed at time of trial)

7.2 Trial Limitations

Free trial accounts are subject to additional restrictions, which may include:

  • Limited processing capacity
  • Restricted access to certain features
  • Limits on AI message interactions
  • Limits on document uploads and processing

7.3 Trial Eligibility

Free trials are available only to new users and may be limited to one trial per person or organization. We reserve the right to verify eligibility and deny trial access to users who have previously used a trial or violated our Terms.

7.4 Conversion to Paid Account

At the end of your free trial, you must purchase credits or subscribe to continue using the Service. We will not automatically charge your payment method without your explicit consent.

8. Intellectual Property Rights

8.1 User Content Ownership

You retain all ownership rights to the documents, drawings, specifications, and other content you upload to the Platform ("User Content"). You also retain all rights to the scope of work documents and other outputs generated by the Platform based on your User Content.

8.2 License to Proscope

By uploading User Content, you grant Proscope Inc. a limited, non-exclusive, worldwide, royalty-free license to:

  • Store, process, and display your User Content
  • Use AI/ML technologies to analyze and process your User Content
  • Generate outputs based on your User Content

This license exists solely to provide the Service to you and terminates when you delete your User Content or close your account (subject to our data retention policies).

8.3 Platform Intellectual Property

The Platform, including all software, algorithms, designs, text, graphics, logos, and other content (excluding User Content), is owned by Proscope Inc. and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer, decompile, or disassemble the Platform
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Platform to create a competing service

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

9. Acceptable Use Policy

9.1 Prohibited Uses

You agree not to use the Platform to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform's operation
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Collect or harvest information about other users
  • Use the Platform for any fraudulent or deceptive purpose

9.2 User Content Standards

You represent and warrant that your User Content:

  • Does not violate any applicable laws
  • Does not infringe on third-party rights
  • Does not contain malicious or harmful elements
  • Is accurate and not misleading

9.3 Enforcement

We reserve the right to:

  • Monitor User Content for compliance with these Terms
  • Remove or disable access to User Content that violates these Terms
  • Suspend or terminate accounts that violate these Terms
  • Report illegal activities to law enforcement

10. Data Export and Portability

You may export your projects, scope of work documents, and other User Content at any time through the Platform's export functionality. We will provide reasonable formats for data export to ensure portability.

11. Service Availability and Modifications

11.1 Service Availability

We strive to maintain the availability of the Platform, but we do not guarantee uninterrupted or error-free service. The Platform may be unavailable due to:

  • Scheduled maintenance (we will provide reasonable notice)
  • Technical issues or failures
  • Events beyond our reasonable control

11.2 Service Modifications

We reserve the right to:

  • Modify, update, or discontinue features of the Platform
  • Change the technical requirements for using the Platform
  • Discontinue the Service entirely (with reasonable notice)

We will make reasonable efforts to notify you of significant changes to the Service.

12. Third-Party Services and Links

The Platform may integrate with or contain links to third-party services, including:

  • Stripe for payment processing
  • Cloud hosting providers
  • Analytics services (if implemented)
  • Other third-party tools and services

We are not responsible for the privacy practices, terms, or content of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

13. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

14. Disclaimers and Warranties

14.1 AS-IS Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

14.2 No Professional Advice

The Platform provides tools and AI-generated suggestions for creating scope of work documents. However:

  • The Service does not constitute professional construction, engineering, legal, or financial advice
  • You are responsible for reviewing and verifying all outputs for accuracy and completeness
  • We do not guarantee that AI-generated content will be suitable for your specific project
  • You should consult with qualified professionals before relying on outputs for construction projects

14.3 AI Limitations

While our AI technology is designed to assist with scope of work creation:

  • AI-generated content may contain errors or inaccuracies
  • AI outputs are suggestions and should be reviewed by qualified personnel
  • We do not guarantee specific results or outcomes
  • AI performance may vary based on input quality and project complexity

14.4 No Warranty of Results

We do not warrant that:

  • The Platform will meet your specific requirements
  • The Platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Platform will be accurate or reliable
  • Defects in the Platform will be corrected

14.5 User Responsibility

You are solely responsible for:

  • Ensuring the accuracy and completeness of scope of work documents
  • Compliance with all applicable building codes and regulations
  • Proper use of outputs in your construction projects
  • Any decisions made based on Platform outputs

15. Limitation of Liability

15.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSCOPE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Construction delays or cost overruns
  • Professional liability or project failures
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15.2 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The total amount you paid to us in the 12 months preceding the claim, or
  • $100 USD

15.3 Essential Purpose

The limitations in this section are an essential element of the agreement between you and Proscope Inc. The Platform would not be provided without these limitations.

15.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Proscope Inc., its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your User Content
  • Any construction projects or professional work based on Platform outputs
  • Any negligence or misconduct on your part

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

17. Dispute Resolution and Arbitration

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Delaware before the American Arbitration Association ("AAA").

17.3 Arbitration Process

  • Arbitration shall be conducted in accordance with the AAA's Commercial Arbitration Rules
  • The arbitration shall be conducted by a single arbitrator
  • The arbitrator's award shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards costs and fees to the prevailing party

17.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND PROSCOPE INC. INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW:

  • Neither you nor Proscope Inc. will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity
  • No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings

17.5 Exceptions to Arbitration

Notwithstanding the above, either party may seek equitable relief in court for:

  • Intellectual property infringement
  • Unauthorized access to the Platform
  • Violation of confidentiality obligations

17.6 Opt-Out Right

You have the right to opt out of this arbitration provision by sending written notice to info@proscope360.ai within 30 days of first accepting these Terms. If you opt out, all other terms will continue to apply, but disputes will be resolved in court.

18. Termination

18.1 Termination by You

You may terminate your account at any time by:

  • Accessing your account settings and following the termination process, or
  • Contacting us at info@proscope360.ai

Upon termination:

  • You will lose access to the Platform
  • Unused credits will be forfeited (no refunds)
  • Active subscriptions will continue until the end of the current billing period

18.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, if:

  • You violate these Terms
  • Your account is used for fraudulent or illegal activities
  • We are required to do so by law
  • We decide to discontinue the Service (with reasonable notice for service discontinuation)

18.3 Effect of Termination

Upon termination:

  • Your right to use the Platform immediately ceases
  • You remain liable for all charges incurred prior to termination
  • Provisions that by their nature should survive termination shall survive, including: ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions

18.4 Data Retention After Termination

Following account termination, we will retain your data for a period of 30-90 days to allow for account reactivation if desired. After this period, your data will be deleted in accordance with our Privacy Policy. You may request immediate data deletion by contacting us at info@proscope360.ai.

19. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of these Terms
  • We will provide notice of material changes through the Platform or via email
  • Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms

If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proscope Inc. regarding the use of the Platform and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Proscope Inc.

20.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

20.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

20.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, or internet service provider failures.

20.7 Notice Requirements

Notices to you may be sent to the email address associated with your account. Notices to us must be sent to info@proscope360.ai.

Notices are deemed received when sent to the provided email address or three business days after mailing.

20.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

20.9 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
